Contract deadline glossary

The terms that decide whether you can exit a contract on time - defined plainly, with the arithmetic that connects them.

Notice period
The minimum warning one party must give to end a contract or stop it renewing. It is usually stated as a number of days, weeks or months before the expiry date.
Notice deadline
The last date valid notice can be served. It is the expiry date minus the notice period, adjusted by the contract's counting rules (calendar days, working days, or months to a day of the month).
Expiry date
The date the current term ends. In an auto-renewing contract this is the date the next term starts unless notice has already been served.
Renewal term
The length of the new term created if the contract renews automatically - commonly the same as the original term, sometimes longer.
Auto-renewal
A clause that renews the contract automatically when neither side serves notice before the notice deadline. The renewal binds both parties on the existing terms.
Break clause
A right to end the contract early on specified dates or conditions. It does not replace the notice deadline for the ordinary end of term.
Rolling contract
A contract that renews repeatedly at short intervals - monthly or quarterly - until one side gives notice.
Decision deadline
An internal date, earlier than the notice deadline, by which the contract owner must decide whether to renew, renegotiate or serve notice.

How the dates connect

Expiry date minus notice period gives the notice deadline. The decision deadline sits inside that window, early enough for the owner to review and act. If the notice deadline passes, an auto-renewing contract renews on its existing terms.

The free calculator applies these definitions to a real contract date, including month-end edge cases.

Common questions

What is a notice period?

The warning period the contract requires before it can be ended or stopped from renewing. It is fixed in the contract and counted back from the expiry date.

How do I calculate a notice deadline?

Take the expiry date and subtract the notice period using the contract's own counting rules. Month-based periods often require a matching day of the month; the free calculator handles those edge cases.

What happens if I miss the notice deadline?

An auto-renewing contract renews on its existing terms for another term. After the deadline there is usually no contractual right to undo the renewal.

Does a break clause replace the notice deadline?

No. A break clause is an additional early-exit right on specific dates. The ordinary notice deadline still governs the end of the term.
